One window, the same for every company
Florida doesn't count from the day you formed. Every LLC and corporation files in the same window, 1 January to 1 May, starting the year after it was formed.
The report isn't a financial statement. It confirms or updates who runs the company and where it is, and it's required even when nothing has changed. Everything on it becomes public on the Division of Corporations' website.
Forming late in the year? Florida says that if you're incorporating between 1 October and 31 December and won't do business until the new year, you can list 1 January as the effective date. That moves the first annual report back a year.
What the report asks for, and how it's filed
It's filed online on Sunbiz and posts straight away when paid by card. You can also pay by check or money order: print the voucher and mail it with the payment, postmarked by 1 May.
The report can change the officers or managers, the registered agent, the addresses and the EIN, but not the company's name, which takes an amendment. Spotted a mistake after filing? An amended report costs $50 for an LLC and $61.25 for a corporation.
- The document number: the 6- or 12-digit number Florida gave the company.
- The principal address, and a mailing address if it's different (a P.O. box is fine for mail).
- The registered agent's name and Florida street address. A new agent has to sign the report.
- At least one principal, with titles and street addresses: officers or directors for a corporation, managers or authorized members for an LLC.
- The company's EIN, never a Social Security number. If it was marked "Applied For" before, the number now has to be entered.
If it's late, or missed
Filed after 1 May, the report costs $538.75 for an LLC and $550 for a corporation: the $400 late fee applies to every LLC and profit corporation.
Not filed by the third Friday of September, the company is dissolved by the state at the close of business on the fourth Friday.
It can be reinstated for $100 (LLC) or $600 (corporation), plus the report fee for every year owed. If it has been dissolved for more than a calendar year, Florida first checks the name is still free, which takes 2 to 3 business days online.
Mistakes to avoid
- Paying $400 for a few days. The window is the same every year, and the late fee applies from the day after 1 May.
- Mailing a check on its own. It needs the printed voucher, and both have to be postmarked by 1 May.
- Changing agents without a signature. A new registered agent has to sign the report.
- Typing someone else's name to sign. Florida treats a signature typed without permission as forgery.
- Closing without telling the state. A closed business doesn't file the report, but Florida's answer is to file its dissolution.
How we file it for you
The Florida report is short. What goes wrong is the date, the $400 that follows it, and details that have quietly gone out of date.
- We file between 1 January and 1 May, so the late fee doesn't apply.
- We check the principals, addresses, registered agent and EIN before filing, and update them on the report.
- We pay the state's fee at cost, after you approve it, and send you the filed copy.
- Forming late in the year? We'll ask whether a 1 January effective date suits you.
- Already dissolved? We file the reinstatement with every report owed.

Questions about the Florida filing
When is my first Florida annual report due?
In the 1 January to 1 May window of the year after your company was formed. A company formed in 2026 files its first report in 2027.
Is there a grace period after 1 May?
No. A report received after 1 May costs $400 more: $538.75 for an LLC, $550 for a corporation. Only nonprofit corporations are exempt from the late fee.
Do I have to file if nothing changed?
Yes. The report is required every year, whether or not anything changed. It confirms the state's records.
Can I file it by mail?
The report is filed on Sunbiz, but you can pay by check or money order instead of a card: print the voucher and mail it with your payment, postmarked by 1 May.
My company was dissolved. Can I bring it back?
Yes, with a reinstatement application: $100 for an LLC or $600 for a corporation, plus every report fee owed.
