What each state charges to form a company, and to keep it.

Every state charges once to form an LLC or a corporation, then again every year or two to keep it in good standing. Here are both fees for all 50 states and Washington, DC, with when each is due.

State government fees only · US dollars · Sources from each state's own site

Switch between LLC and corporation, or sort by either fee. "To keep" is the state's own recurring fee; a $0 state can still require a report.

Wyoming annual reportIncorporate in Wyoming

What these fees leave out

  • A registered agent. Every LLC and corporation needs one in its state. Unless you have an address there, that's usually a yearly fee to a provider. Ours is included for the first year with our Complete package.
  • Card fees. Some states add a fee when you pay online by card: Texas adds $0.25 plus 2.25%, Wyoming 2.4% and Oklahoma 4%. Where we've confirmed one, its row shows the total with it.
  • Newspaper notices. New York requires a new LLC to publish one within 120 days, and the newspapers' charges can cost more than the filing itself. Nebraska requires one for three weeks in a row. Arizona requires one within 60 days too, unless the company's agent is in a county of more than 800,000 people, where the state posts it online instead.
  • Faster filing and certified copies. Both are optional. Many states sell faster processing, from $20 in Montana to $1,000 for one hour in Delaware, and a certified copy of your filing, which some banks ask for. The extra state fees, explained
  • Fees that move with the business. Wyoming's yearly fee grows with assets in the state, California's $800 is a tax paid every year, and a Delaware corporation's franchise tax depends on its shares or assets.
  • Federal tax filings. These depend on how the company is owned and taxed, not on the state. What owners outside the US file

The cheapest state is rarely the right question

A lower filing fee doesn't make a state the right home for your company. Where the business actually operates, where its owners live, and what the state asks of you every year matter more than the one-time fee.

In many states, a few years of recurring fees cost more than forming did. Look at both columns, and at what the state asks of you every year.
