How to form a Texas LLC, step by step
- Choose a name Texas will acceptIt must include "Limited Liability Company", "Limited Company" or an abbreviation such as "L.L.C.", "L.C." or "Ltd. Co." (with or without the dots), and be distinguishable from names on the Secretary of State's records. "Bank" or "trust" needs the Banking Commissioner's approval, and "college" or "university" needs the Higher Education Coordinating Board's.
- Appoint a registered agent in TexasThe agent can be a Texas resident or a business registered in Texas, at a Texas street address where legal papers can be handed over during business hours. A mailbox or answering service alone doesn't qualify, the LLC can't be its own agent, and the agent must agree to serve.
- Decide who's listed as managers or membersThe certificate must say whether the LLC has managers. If it does, each initial manager's name and address goes on it; if it doesn't, each initial member's. At least one person is required.
- File the Certificate of Formation (Form 205)Online through SOSPortal, the system that replaced SOSDirect on 29 September 2026, or by mail. It also gives a mailing address the Comptroller will use for tax letters, and an organizer signs it. No notary is needed. The fee is $300.
- Answer the Comptroller's questionnaireOnce the LLC exists, the Comptroller opens a franchise tax account and mails a letter. New Texas LLCs use the numbers in it to complete the Franchise Tax Accountability Questionnaire online.
- Put the company agreement in placeTexas accepts a company agreement that's written, spoken or implied, even with a single member, and it can't be filed with the state. Both our packages include a written one, which banks usually ask to see.
What we handle for your Texas LLC
Texas lists your managers or members on the public filing, and its yearly report goes to the Comptroller rather than the Secretary of State, which is easy to miss.
- We check your name against Texas's records and its restricted words before filing Form 205.
- Our registered agent is your Texas street address for legal papers, included for the first year with our Complete package.
- We help you decide who to list as managers or members, since Form 205 makes them public.
- After filing, we help with the Comptroller's questionnaire and remind you about the Public Information Report every May 15, or file it for you.

What goes on the public record
The Certificate of Formation names each initial manager, or each member if there are no managers, with an address, and it's public. The yearly Public Information Report names the officers, directors and managers, and the Comptroller shows that in its online entity search. Managers don't have to be members.
If you live outside the US
- Texas law doesn't restrict who can form or own an LLC by citizenship or residence. The organizer only has to be able to sign a contract.
- You'll need a registered agent business: an individual agent has to live in Texas, and the LLC can't be its own agent. Ours is included for the first year with our Complete package.
- Online filings are paid by card or ACH bank transfer; mailed filings by check or money order. When we file, the state fee is simply part of your order.
- At the federal level, your EIN is applied for by phone, fax or mail, and a single-owner LLC files Form 5472 every year.

Questions people ask
Does a Texas LLC file an annual report?
Not with the Secretary of State. Every May 15 it files a Public Information Report with the Comptroller, plus a franchise tax report if its revenue is over $2.65 million.
How much franchise tax will my LLC pay?
Nothing at $2.65 million or less in annualized revenue, the threshold for 2026 and 2027 reports. Above it the rate is 0.75%, or 0.375% for retail and wholesale, and businesses with $20 million or less in revenue can use the 0.331% EZ computation.
When is my first report due?
May 15 of the year after the LLC is formed. Formed in 2026? The first one is due May 15, 2027.
Will my name be public?
If you're named as a manager or member, yes. The certificate lists the initial managers (or members, if there are no managers), and the yearly report lists managers and officers. Managers don't have to be members.
Can I pay to have it filed faster?
Yes. Texas Express costs $50 for standard expedited (usually 2 to 3 business days), $500 for next day and $750 for same day, on top of the $300 fee.
Is Texas the right state for my LLC?
If you live or work in Texas, usually yes: you register and report in one state, and most small LLCs owe no franchise tax. Founders abroad with no Texas ties often compare it with Wyoming and New Mexico.
