Terms
Terms of service.
Last updated 4 November 2026.
These terms are the agreement between you and IncWize ("we") when you use incwize.com or order our services. Please read them with our privacy policy.
About these terms
By placing an order, you accept these terms for yourself and for the company you're forming or managing. If you order for a company, you confirm you're allowed to act for it. Your order confirmation sets out exactly what you've bought.
What we do
We prepare and submit filings for your company, using the information you give us, and provide the services in your package or order. Depending on what you choose, that includes:
- checking the business name and filing your LLC or corporation with the state;
- a registered agent, through our provider;
- applying for your EIN with the IRS, and filing an S corporation election;
- an operating agreement or bylaws, with first minutes and resolutions;
- reminders before your state reports are due, and filing the reports included in your order;
- changes, registration in another state and reinstatement, when you order them;
- tax filings prepared by an independent, qualified tax professional, when you order them.
What we don't do
We're not a law firm, an accounting firm or a bank, and we don't give legal or tax advice. Our guides and answers explain how things work, from official sources. For advice on your own situation, speak to a qualified lawyer or tax professional.
Some decisions aren't ours to make. States decide whether to accept a name or a filing, the IRS decides on EINs and elections, and banks and payment platforms decide whether to open an account. Processing times are set by them too. We prepare everything carefully and keep you updated, but we can't promise their decisions or timing.
Who we can serve
You must be 18 or older, and the company must be for a lawful business. US sanctions law stops us serving people who live in Cuba, Iran, North Korea or the occupied regions of Ukraine. We also don't currently serve people who live in, or are citizens of, Russia or Belarus.
We may decline an order, or stop work and refund what we haven't spent, if we can't serve you lawfully or the information we've been given turns out to be untrue.
Your part
- Give us complete, accurate information, and tell us when it changes.
- Check the details we send you before we file. Filings are made on your instructions.
- Answer our questions promptly, so deadlines aren't missed.
- Keep your company's own obligations, such as state reports, taxes and licences, unless your order says we handle them. Our reminders help, but the company stays responsible for its filings.
Prices and payment
You see the full price before you pay: our fee, and any state or government fee. State fees are passed on at cost, with nothing added. You pay nothing until we've confirmed your details together.
Some government costs depend on choices or events, such as faster processing, late fees or penalties. We only add them to your order with your agreement.
Before a yearly service such as the registered agent ends, we tell you the renewal price and how to renew.
Registered agent and mail
Our registered agent and mail services are provided through our providers, whose own terms may also apply; we share them with your order. Every company must keep a registered agent in its state. If the service ends and you don't appoint a new agent, the state can penalise or dissolve your company, so arrange a replacement before it ends.
Our website
We check the facts on our pages against official sources and show when we last checked them. Rules and fees change, though, so the website is general information rather than advice for your situation. Please don't misuse the site, for example by trying to break into it, overload it or copy it wholesale.
If something goes wrong
We do our work with reasonable care and skill. If something goes wrong because of our mistake, we'll put it right where we can.
Our total liability for any claim is limited to the fees you paid us for the service concerned, not counting government fees. We're not responsible for decisions or delays by governments, banks or other third parties, or for indirect losses such as lost profits. Nothing in these terms limits any liability that the law doesn't allow us to limit.
Changes and ending
We may update these terms and will change the date at the top when we do. An order already placed stays under the terms that applied when you placed it. You can stop using our services at any time; ongoing services end at the end of the period you paid for.
Governing law
These terms are governed by the laws of the US state where IncWize is registered, and disputes go to its courts. If you live in another country, you keep any consumer rights its law gives you.
