How to form a Wyoming LLC, step by step

  1. Choose a name Wyoming will acceptIt must include "LLC", "L.L.C.", "Limited Liability Company" or a similar form, and differ from names on record by more than punctuation, capital letters, plurals or words like "the" and "and". Names that begin with "A" as a separate letter (like "A Red Wagon LLC"), names with special characters, and names using words like "bank", "trust" or "university" must be filed on paper.
  2. Appoint a registered agent in WyomingThe agent needs a physical Wyoming street address where someone is present to accept legal papers. P.O. boxes, virtual addresses and mail forwarding don't qualify, and an individual agent must live in Wyoming.
  3. File the Articles of OrganizationOnline through WyoBiz, paid by Visa or Mastercard, or on paper by mail. The articles give the name, the registered agent, the mailing and principal office addresses and an email address for legal notices, signed by an organizer. The fee is $100.
  4. Name a communications contactWyoming requires every LLC to give its registered agent the name, physical address and business phone number of a person who can receive the agent's messages, and to keep them up to date.
  5. Put the operating agreement in placeWyoming accepts an operating agreement that's written, spoken or implied, and it isn't filed with the state. Both our packages include a written one, which banks usually ask to see.

What we handle for your Wyoming LLC

Wyoming's steps are short, but small things trip people up: a name that has to go on paper, an agent who doesn't meet Wyoming's rules, or an annual report due on the 1st of your month.

  • We check your name against Wyoming's records and its paper-filing rules before anything is filed.
  • We file online whenever your name allows it, so your LLC is active as soon as it's filed.
  • Our registered agent is your Wyoming address for legal papers, included for the first year with our Complete package.
  • The organizer who signs can be us, so your name stays off the public filing.
  • We remind you before each annual report is due, or file it for you.

What goes on the public record

The articles don't ask for members or managers, but everything on them, signatures included, becomes public. An organizer signs, and that can be us. Your registered agent keeps your managers' names and your contact person on file; they become public only if you choose to file them with the state. The asset worksheet behind the license tax isn't public, but the figures on the annual report are.

If you live outside the US

  • Wyoming's LLC Act and articles set no residency or citizenship rule for the people who form the LLC.
  • You'll need a commercial registered agent: an individual agent has to live in Wyoming. Ours is included for the first year with our Complete package.
  • Paying online takes Visa or Mastercard only. When we file, the state fee is simply part of your order.
  • At the federal level, your EIN is applied for by phone, fax or mail, and a single-owner LLC files Form 5472 every year.

Questions people ask

When is the Wyoming annual report due?

By the first day of the month you formed in, every year from the year after. Formed on May 15? It's due May 1.

How much is the license tax?

$60, or $0.0002 per dollar of assets located in Wyoming if that's more. A company with $300,000 or less in Wyoming assets pays $60.

Can I pay to form it faster?

There's no need: online filings are active immediately. Wyoming's paid expedite is for filings that can't be done online.

Will my name be public?

Owners aren't asked for on the articles. Whatever is on them, including the signature, is public, and the organizer who signs can be us.

Is Wyoming the right state for my LLC?

If you live in the US and work from another state, you'd likely have to register there too, so forming at home is often simpler, and we form LLCs in every state. Founders abroad often compare Wyoming with New Mexico and Delaware.
