What you really pay: $60 for most companies
The license tax counts only assets located and employed in Wyoming. A company with $300,000 or less of them pays $60. Above that it's $0.0002 per dollar, so $1,210,000 of Wyoming assets means $242.
The figures come from the company's balance sheet at the end of its last fiscal year, on a worksheet that isn't made public. The value of its stock, its net worth and its equity don't count.
So a company run from outside Wyoming, with no assets there, pays the $60 minimum. LLCs and corporations use the same schedule.
How it's filed
Online, through the Annual Report Wizard on WyoBiz, by Visa or Mastercard. The card processor adds 2.4% of the fee (at least $1). Online filing isn't allowed when the fee is over $500.
Or print the finished report from the wizard, sign it and mail it with the fee, at no extra cost.
Reminders go to the email address on file, from [email protected]. A corporation that changes its officers or directors after filing uses the Update of Officers/Directors form.
If it's late, or missed
A company becomes delinquent on the 2nd day of the month after its due date. If the report still isn't filed within 60 days of the due date, it's dissolved by the state.
Within 2 years it can be reinstated: file each missing report with its fee, plus a $100 reinstatement fee, online or by mail. By mail, processing takes up to 15 business days.
After 2 years, Wyoming's law doesn't allow reinstatement.
Mistakes to avoid
- Counting from the formation day. The report is due on the 1st of the month you formed in, not on the anniversary itself.
- Filing too early. Wyoming takes reports up to 120 days before the due date.
- Counting assets outside Wyoming. Only assets located and employed in Wyoming count toward the tax.
- Missing the reminders. They go to the email address on file, so keep it current.
- Waiting more than 2 years. After that, a dissolved company can't be reinstated.
How we file it for you
Wyoming's report takes minutes. The risk is the date: it's tied to your formation month, and 60 days late means dissolution.
- We file before the 1st of your formation month.
- We fill in the asset figures with you, so you pay only what Wyoming's schedule asks.
- We pay the state at cost, after you approve it, and send you the filed copy.
- Dissolved within the last 2 years? We file the missing reports and the reinstatement.
Our fee $79 per filing, plus the state's fee at cost
